VentaVeri Ltd. (hereinafter “Connexify”), is a company incorporated under English law, company number [Insert Company Number], which provides a tool to facilitate onboarding and granting access to digital marketing and advertising accounts through its website Connexify.io.

By registering on the website Connexify.io or using the Service, the Client acknowledges that they have read, understood, and agreed to the entirety of these Terms of Service. Connexify strongly advises the Client to print and/or save a copy of the Terms of Service.

These Terms of Service may be amended from time to time. It is the Client’s responsibility to review these Terms of Service frequently and remain informed of any changes. The Client agrees that continued use of the Service after such changes to the Terms of Service have been published constitutes their acceptance of the revised terms.

2. PURPOSE OF THE AGREEMENT

The purpose of the Agreement is to outline the terms under which Connexify provides the Service to the Client. The Service includes a non-exclusive and non-transferable right to use the Connexify platform in exchange for payment of fees and compliance with these Terms.

3. SERVICE DESCRIPTION, ACCESS, AND AVAILABILITY

3.1 Description of the Service

Connexify’s tool simplifies the connection process between agencies and their clients’ accounts on platforms such as Google Ads, Meta, TikTok, and LinkedIn. Connexify does not store any data permanently. The Client is solely responsible for saving and backing up any information processed via the Service. Connexify excludes liability for data loss.

3.2 Access

Access to the Service is provided through the Client's registered Account. Multiple users within the same organization may share the Account. The Client is responsible for the security and use of their Account, which requires providing accurate registration details such as name, email, and payment information.

3.3 Availability and Support

The Service is available 24/7, subject to maintenance or unforeseen interruptions. Support is offered via email at info@connexify.io and is available in English.

4. CLIENT OBLIGATIONS

The Client bears sole responsibility for ensuring compliance with any relevant laws or third-party platform requirements when using the Service.

5. PRICING, PAYMENT, AND INVOICING

5.1 Pricing

The Client must subscribe to a monthly or annual Subscribed Plan, with pricing detailed on Connexify.io. All fees are exclusive of taxes, which remain the Client's responsibility.

5.2 Payment

Payments are processed via [Insert Payment Processor], using a valid credit or debit card. The Client's subscription renews automatically unless canceled as specified under Section 7.

5.3 Refunds

Fees are non-refundable, and unused time in a subscription period does not qualify for a refund. No refunds or credits will be issued for partial months of service.

6. MODIFICATION OF SERVICE AND PRICING

Connexify reserves the right to modify or discontinue the Service or its pricing with 30 days’ notice, provided via the website or email. Such changes apply to all ongoing Subscribed Plans after the notice period.

7. TERM AND TERMINATION

The Agreement begins when the Client creates an Account and remains effective until terminated by either Party. Subscribed Plans auto-renew unless canceled by the Client at least 7 days before the end of the billing cycle. Termination does not entitle the Client to a refund, and all data will be deleted upon termination.

8. LIABILITY

Connexify provides the Service "as is" and does not guarantee uninterrupted availability or error-free performance. Connexify is not liable for:

Connexify’s liability is limited to the total amount paid by the Client for the most recent subscription period.

9. INTELLECTUAL PROPERTY

Connexify retains all rights to its platform, logo, and related content. The Client may not copy, distribute, or modify Connexify’s intellectual property without prior written consent.

10. DATA PRIVACY

Connexify processes Personal Data in compliance with its Privacy Policy and applicable data protection laws, including GDPR. For details, please refer to the Privacy Policy at Connexify.io/privacy.

11. GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of England. Any disputes arising under this Agreement will be resolved exclusively in the courts of England.
